In our accounting firm, we have the blessing that we help many foreign nationals open up their business in the USA. Most of these foreigners always have the same question. Do I need a social security number or an ITIN number in order to open up an LLC in the USA? We’re going to answer that question in this video.

Let’s go. Hello from Freedom Group. We are a group of four companies where we have been providing quality services in taxes, accounting, insurance, financial planning, real estate, immigration for more than 20 years.

We have the blessing of being able to help many foreign nationals open up their business in the USA. And as we said at the beginning, most of these foreign nationals always ask us, do I need to have a social security number or an ITIN number in order to open up an LLC? Why? Because when you look this question up online, unfortunately, there’s a lot of bad information online. Many other businesses that help foreigners open up a company tell them the wrong information, telling them that they need the social and they need an ITIN in order to open up a business in the US.

So to answer the question, does a non-resident need a social security number or an ITIN number to open up an LLC in the US? The short answer is no. You as a foreign national or a non-resident, you can form and open up your LLC without having a social security number nor an ITIN number. Now, I’m going to explain that a little bit deeper.

Why? Because even though you don’t need the ITIN number nor the social security number to open up the LLC, you may need one of these numbers in the future in the operational aspect of the LLC. So let me explain. Okay, so as said, you don’t need a social security number nor an ITIN number to form an LLC.

So what does that mean? So you can still register the LLC in the state that you want to open up the LLC and basically you can open up the LLC in any of the 50 US states. So you open up the LLC with the state, you can register the business name that you want, and you can also get the articles of organization from the state that you’re registering that LLC. Once you have registered the LLC at the state level, which you don’t need a social security number nor an ITIN number to do that, then you have to apply for the federal EIN number for your LLC.

Now the EIN number is the employer identification number, which is the federal tax ID number that the federal government, specifically the IRS, is going to assign to your business. Okay, now to apply for the EIN, you do not need a social security number nor an ITIN, contrary on what you read online. Now there is a difference.

If you have a social security number, the process of getting the EIN number from the IRS for your LLC is a lot faster and easier. Why? Because you can apply for the EIN number for your LLC online via the IRS website. Now if you don’t have a social security number, the process of applying for the EIN number for your LLC, you cannot do it online.

It’s a longer process. You have to fill out form SS-4 and you need to fax it over to the IRS and getting that number back from the IRS can take anywhere from two to six weeks. It all depends how fast the IRS can process your EIN number application in their system.

So there you go. Even though a foreign national doesn’t have a social security number nor an ITIN number, they can register the LLC in the state and they can get an EIN number. Okay, now this is where it gets tricky.

Even though you do not need the social security number nor an ITIN to register with the state and get the EIN number, because basically once you have registered the LLC with the state and you have your EIN number, legally your LLC is formed so you can start operating. Now, here’s the tricky part. Now you have to open up a bank account.

Eventually your business is going to have to file a tax return. So you don’t need the social security number and the ITIN number to open up the LLC, but in most cases you are going to need the social security number or the ITIN number in order to open up a bank account. And when your business and your LLC files its first business tax return with the IRS, at least you are going to need the ITIN number if you are a US non-resident.

So that’s why the answer is a no, you don’t need the numbers and a yes, you need the numbers answer to the question. Why? Because you don’t need a social nor an ITIN to form the LLC, but you do need the social security number or an ITIN number to open up a bank account and to file the business tax returns. So that’s why the answer is a little bit complicated.

Also during this video you have listened to me say social security number or ITIN number. Let’s discuss the difference between the two. So a social security number is a tax ID number or an identification number that the US government assigns to a US citizen or a US permanent resident.

Now if you don’t have a citizenship from the US or if you are not a US permanent resident for immigration purposes, even though you’re a foreign national you may have a tax filing requirement in the US. So the IRS has come up with this number called the ITIN number which means the individual taxpayer identification number. That’s what ITIN means.

Basically the ITIN number is a tax identification number that the federal government assigns to an individual that cannot apply for a social security number but that person still has a tax filing requirement with the US government. So basically the IRS says well I really don’t care what your immigration status is if you need to file taxes as a foreign national I can give you this tax ID number so you can pay your fair share of taxes in the USA. So that’s the difference between the social security number and the ITIN number.

Also many foreign nationals asked us why do I want to operate a business in the US under an LLC. So basically the LLC business structure gives you a lot of legal protection and the LLC is also going to give you tax flexibility on the income that your business is reporting in the USA. If you operate under your name you can even get an ITIN number as a foreign national and work under your ITIN number but there you have no legal protection and you have no tax structure options.

You are tied to paying taxes only one way. The LLC gives you the flexibility of choosing different tax structures depending on what your LLC does and your goals in the future. Now to summarize you do not need a social security number nor an ITIN number to open up an LLC in the USA but you are going to need a social security number or an ITIN number once you open your LLC in order to open up a bank account and in order to file your business tax return with the IRS.

  2. Register Your Business Name – The LLC’s name must be unique and comply with state regulations.
  3. File Articles of Organization – This document officially registers your LLC at the state level.
  4. Obtain an Employer Identification Number (EIN) – After forming your LLC, you must request an EIN from the IRS to operate legally.

None of these steps require an SSN or ITIN. However, obtaining an EIN can be easier if you do have a Social Security Number.

Applying for an EIN Without an SSN or ITIN

An EIN (Employer Identification Number) is a federal tax ID issued by the IRS. It is required for:

  • Filing business taxes
  • Hiring employees
  • Opening a business bank account
  • Applying for business licenses

If you have an SSN, you can apply for an EIN online through the IRS website, and the process is fast. However, if you don’t have an SSN or ITIN, you must manually file Form SS-4 and fax it to the IRS. This method takes two to six weeks to process.

Why You May Need an ITIN or SSN Later

Although you can form an LLC without an SSN or ITIN, you may need one for the following reasons:

1. Opening a Business Bank Account

Most banks require an SSN or ITIN to verify your identity when opening a business account. Some international banks may allow you to open an account without these numbers, but options are limited.

2. Filing Business Taxes

If your LLC generates income in the U.S., you must file a tax return. At this point, an ITIN is required for foreign business owners.

If you earn U.S.-sourced income, the IRS requires you to report it using either an SSN or ITIN.
