Do you need an LLC to start a business in Florida? Technically, no. Florida does not require you to form an LLC to operate a business. You can run your business as a sole proprietor using your own name or a fictitious name, also known as a DBA.
But here’s the important part. Just because you can do it doesn’t mean you should do it. As a sole proprietor, you and your business are legally the same.
That means that if your business gets sued, your personal assets are at risk. Your home, your car, even your personal savings all could be used to settle a business lawsuit for debts and lawsuits. Here’s a simple example.

There is a $125 filing fee with the Florida Division of Corporations. You will need to file an annual report every year, which is currently $138.75. You will also need a registered agent, which can be you, your accountant, or a third party. Compared to the cost of losing personal assets, that’s a small price to pay for peace of mind.
Now, are there times where not working under an LLC and being a sole proprietor makes sense? Sure there is. If you’re just testing out a business idea, you’re freelancing on the side, or if you almost have zero liability, you might start as a sole proprietor to keep things simple.
